Beaver Press Ltd. — Charge Account Agreement

AFTER SIGNING, FAX OR MAIL TO BEAVER PRESS LTD.
In Consideration of Beaver Press Ltd. Accepting this Application, I/We agree as follows with respect to all purchases charged to my Beaver Press Ltd. charge account:

1. To pay for all purchases on a net 30 day basis and if not so paid they become past due.
2. A service charge of 2% per month is chargeable on all past due purchases calculated from the date on which they become past due; provided however that the charging of the said service charge shall not relieve me of my obligation to pay for purchases when due.
3. Beaver Press Ltd. may cancel this charge account and any privileges hereunder at any time.

CONDITION OF SALE
QUOTATIONS: Specifications of customer should be comprehensive and complete. Any deviation from original specification carries an implied understanding for revision of prices. Quotations normally are based on continuous and uninterrupted delivery of complete order; however, in the event that an order is produced during an extended period, either as a result of customer delays or due to the nature of the job itself, Beaver Press Ltd. reserves the right to increase the price proportionate to any increase in hourly rates of wages and/or cost of materials. In such cases it is the obligation of Beaver Press Ltd. to so advise the customer within seven days of any such increases. The prices stated on this quotation are valid for 10 days only.

ORDERS AND CONTRACTS received and accepted by Beaver Press Ltd. may be cancelled or changed only upon terms that will fully compensate for loss.

EXPERIMENTAL WORK performed at customer's request by Beaver Press Ltd. will be charged at current rates and may not be used until Beaver Press Ltd. has been reimbursed in full for the amount of the charges billed.

COPY must be legible and edited. An additional charge may be made whenever bad or poorly prepared copy is supplied, or copy submitted in any form which prevents it from being readily handled.

STYLE: When style, type, or layout are left to Beaver Press Ltd.'s judgment, changes made by customer from that style, type, or layout, will be charged as author's alterations.

ALTERATIONS: Quotations are for work according to the original specifications. If through customer's error, or change of mind, work has to be done a second or more times, such extra work will carry an additional charge, at Beaver Press Ltd.'s current rates for the work performed.

PRESS PROOFS: An extra charge will be made for press proofs, unless the customer is present when the form is made ready on the press, so that no press time is lost. Presses standing awaiting O.K. of customer will be charged at Beaver Press Ltd.'s current rates for the time so consumed.

PAPER STOCK SUPPLIED by the customer shall be properly packed, free from dirt, grit, torn sheets, bad splices, etc., and of proper quality for printing requirements. Additional cost due to delays or impaired production on account of improper packing or quality shall be charged to the customer. A charge based upon the value of all paper stock supplied by the customer will be made for handling and care of same.

ALL PROPERTIES belonging to the customer will be handled and stored only at the customer's risk and such handling and storage charged for at Beaver Press Ltd.'s current rates.

RESPONSIBILITY FOR ERRORS: Beaver Press Ltd. is not responsible for errors if work is printed as per customer's "O.K." No financial responsibility whatsoever is assumed for errors, or damages resulting from errors, other than the replacing of the order to meet the original specifications.

LEGAL RESPONSIBILITY: the customer will indemnify and hold Beaver Press Ltd. safe and harmless against any prosecution or suit arising from or prompted by the use of any material, including copy supplied to Beaver Press Ltd. by the customer and/or his agents.

OVERTIME: All overtime authorized by the customer shall be charged for at Beaver Press Ltd.'s overtime rates.

SALES TAX: Government sales tax at prevailing rates are applicable on all orders unless exempt by sales tax certification supplied in writing by the customer.

TERMS: Net 30 days on receipt of goods. All claims must be made within seven days of receipt of goods.

OVER-RUNS AND UNDER-RUNS: Over-runs or under-runs not to exceed 10% on quantities ordered, or the percentage agreed upon, shall constitute acceptable delivery. Printer will bill for actual quantity delivered within this tolerance. If customer requires guaranteed exact quantities, the percentage tolerance must be doubled.
